TNS Answering Service provides professional call answering, safety monitoring, alarm monitoring, and virtual dispatcher services. The specific services provided to each client are outlined in individual service agreements.
While we strive to provide 24/7/365 service availability, we cannot guarantee uninterrupted service. Scheduled maintenance, technical issues, or circumstances beyond our control may occasionally affect service availability.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that may affect your service.

Fees for our services are outlined in your individual service agreement. Unless otherwise specified:
Late payments may be subject to interest charges at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law. We reserve the right to suspend services for accounts with outstanding balances exceeding 60 days.
We may adjust our pricing with 30 days' written notice. Continued use of services after a price change constitutes acceptance of the new pricing.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TNS ANSWERING SERVICE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
TNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our services are designed to supplement, not replace, your own safety procedures and emergency response systems. You remain responsible for maintaining appropriate backup systems and procedures.
You agree to indemnify, defend, and hold harmless TNS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, labor disputes, telecommunications failures, or other force majeure events.
These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and TNS regarding our services.
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign your rights under these Terms without our written consent. We may assign our rights to any successor or affiliate.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
